1. Introduction
These Terms of Service ("Terms") govern your use of TgPaidChannel, a SaaS tool for Telegram channel monetization operated by Individual Entrepreneur Stanislav Bogdanov (Identification Number: 345670295, registered 28/10/2022 by the LEPL National Agency of Public Registry, legal address: Georgia, Batumi city, Alexander Griboyedovi street, N28, flat N20) ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.
2. Service Description
TgPaidChannel is a Telegram Mini App that enables channel owners to launch paid Telegram channels with recurring subscriptions. The service provides tools for connecting payment providers, setting subscription prices, and managing channel access.
3. Eligibility
To use our services, you must be at least 18 years old and have the legal capacity to enter into binding agreements. By using our services, you represent and warrant that you meet these requirements.
4. User Responsibilities
As a user of TgPaidChannel, you are responsible for:
- The legality of the content published in your Telegram channel
- Your relationships with your subscribers, including any disputes or refund requests
- Maintaining the security of your account credentials
- Your payment provider accounts and compliance with their terms of service
- Compliance with all applicable laws and regulations in your jurisdiction
- Ensuring your channel content does not violate Telegram's terms of service
5. Payment Provider Compliance
You are solely responsible for your merchant accounts with your chosen payment providers. This includes compliance with their merchant agreements, anti-fraud policies, and any applicable payment card industry standards. We do not store your payment credentials and act only as a facilitator connecting your channel to your chosen payment providers.
6. Beta and Development Status
TgPaidChannel is currently in active development. Features, functionality, and availability may change without prior notice. The service may be provided in beta or early access form, and we make no guarantees regarding uptime, stability, or feature completeness during this period.
7. Service Availability
While we strive to maintain high availability, we do not guarantee uninterrupted access to our services. We may suspend or discontinue the service, or any part thereof, at any time for maintenance, updates, or other operational reasons. We will make reasonable efforts to provide advance notice of planned maintenance.
8. Prohibited Activities
You agree not to use our services for:
- Any illegal, fraudulent, or deceptive activities
- Distribution of illegal content, including but not limited to content that violates intellectual property rights
- Sanctions evasion or money laundering
- Unauthorized access to other users' accounts or systems
- Activities that violate Telegram's terms of service or community guidelines
- Abuse of the subscription system, including creating fake subscribers or manipulating metrics
- Any activity that could harm the reputation or operation of our services
9. Intellectual Property
All intellectual property rights in our services, including software, designs, trademarks, and documentation, remain our property or that of our licensors. You retain ownership of your channel content but grant us a limited license to display and process it as necessary to provide our services.
10. Limitation of Liability
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.
11. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.
12. Termination
We may suspend or terminate your access to our services at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the services will immediately cease.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Georgia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Georgia.
